WAINWRIGHT, AK – On December 13, 2022, Ethel Patkotak resigned from the Olgoonik Corporation (OC) Board of Directors. OC Bylaws Section 8.03 provide that a director can resign at any time, and that a resignation is considered effective when it is received by OC’s President or Secretary. Because the OC President and Secretary received Ms. Patkotak’s resignation on December 13, 2022, her resignation was considered effective on that day.

During the Board’s regular quarterly meeting on December 14 and 15, 2022, the Board considered how to fill the vacancy in the office of Vice President created by Ms. Patkotak’s resignation. The Board also considered how to fill the vacancy in the office of Treasurer created when Joseph Ahmaogak resigned from the Board of Directors in November 2022. Consistent with OC Bylaws Section 4.05, the Board unanimously elected Stella Anasogak to serve as Vice President for the remainder of that office’s term, until June 2023. The Board then unanimously elected Ben Ahmaogak, Jr. to serve as Treasurer for the remainder of that office’s term, until June 2023. Board officer titles are updated on our website here.

During its quarterly meeting, the Board also considered the director vacancies on the Board created by Mr. Ahmaogak and Ms. Patkotak’s resignations. The Board decided not to fill the director vacancy created by Mr. Ahmaogak’s resignation because that seat will be up for election in less than 6 months, in June 2023. During the first quarter of 2023, the Board will consider how to address the director vacancy created by Ms. Patkotak’s resignation. OC Bylaws Section 3.02 vests the Board with the authority and discretion to determine whether and how it fills those vacancies. Any decision made by the Board concerning that vacancy will be made consistent with OC’s Bylaws.
