WAINWRIGHT, AK – Three seats on the Olgoonik Corporation Board of Directors will be up for election at the 2022 Annual Meeting of Shareholders. Shareholders who are interested in serving on the Board must complete their candidacy paperwork and return it to OC by 5PM on Friday, February 18, 2022. Paperwork can be submitted electronically (good quality smartphone photos or scans of completed and signed paperwork will be accepted if emailed to the Governance team before the deadline). Because the Wainwright Post Office is currently closed, printed forms can be mailed to the Anchorage office at 3201 C St., STE 700, Anchorage, AK 99503.

FREQUENTLY ASKED QUESTIONS ABOUT SERVING ON THE BOARD 

How can I run for an open Director position? 

The OC Board is comprised of nine members who are elected by shareholders during the annual election. OC posts an official Notice of Solicitation each year for the three Director seats that are up for reelection and makes application materials available online and through the Wainwright and Anchorage offices. To be considered for inclusion on the Proxy Statement and Proxy, which will be mailed to shareholders with the Notice of Annual Meeting, shareholder candidates must complete the application packet and return forms by mail or electronically before the deadline (Friday, February 18, 2022 at 5PM). 

Will I receive any compensation for serving on the Board of Directors? 

Yes.  In consideration of Director responsibilities, the OC Board has created a compensation policy for its members and each member receives a monthly stipend for meeting attendance, plus covered travel expenses when travel is required. 

If I’m elected by shareholders, when does the term begin? 

Election results are announced at the Annual Meeting of Shareholders, typically in June. Directly after the Annual Meeting, the Board of Directors, including any new members, will hold a Board Re-Organizational Meeting to determine officer positions (Chairman, Vice Chairman, President, Vice President, Secretary, and Treasurer). The Board term begins with the Re-Organizational Meeting. 

If elected, how long would I serve on the Board? 

The term for each seat is three years. 

Are Board members eligible to serve on more than one Alaska Native Corporation Board? 

No.
